This agreement sets out the terms under which you ("you", "your", "the Contractor") provide property maintenance services through the FixMate platform.
You are engaged by FixMate as an independent contractor, not as an employee or worker. You are responsible for your own tax and National Insurance contributions. You are not entitled to employee benefits (holiday pay, sick pay, pension contributions) from FixMate. FixMate does not operate under IR35 in the standard engagement model described below — you are responsible for determining your own IR35 status for each assignment.
You agree to provide property maintenance services (the "Services") — including but not limited to plumbing, electrical, gas and heating, cleaning, and handyman work — to FixMate customers in accordance with:
You are not required to accept any job. However, once you accept a job, you are committed to completing it within the agreed timeframe.
FixMate sets the fixed price charged to the customer. From each job's fixed price, FixMate retains a platform fee (currently 20%) and remits the remainder to you via BACS within 30 days of job completion and invoice submission.
You are not permitted to charge the customer any additional amount beyond the fixed price agreed at booking, unless you first obtain FixMate's written approval for scope changes. Any such approved additional charges are passed through at cost to the customer, with no additional margin retained by you beyond the standard job rate.
FixMate reserves the right to adjust its platform fee with 30 days' written notice.
You represent and warrant that:
FixMate monitors quality through customer ratings. Repeated ratings below 3.5 stars may result in suspension or removal from the platform, at FixMate's discretion.
When a job is offered to you, you must respond within 30 minutes. Failure to respond within this window may result in the job being re-offered to another contractor. Once you have accepted a job, you must attend the customer's location within the confirmed time window.
You must maintain, at minimum, the following insurance coverage throughout your engagement with FixMate:

You must provide evidence of current insurance on request. FixMate may request renewed evidence annually. If you fail to provide proof of insurance, your access to the platform may be suspended until compliant.
You will be paid by BACS transfer within 30 days of submitting a valid invoice for completed jobs. Payments are made monthly on the last business day of each month for all completed and invoiced jobs in the preceding month.
You must submit a VAT-compliant invoice (if VAT registered) to FixMate at invoices@fixmate-2.polsia.app by the 25th of each month to be included in that month's payment run.
You are responsible for all tax and National Insurance obligations arising from payments received from FixMate. If you are VAT registered, you must notify FixMate and include your VAT number on all invoices.
For IR35 purposes: the parties intend that this engagement is one of self-employment. You are responsible for determining the IR35 status of each individual assignment and must notify FixMate in writing if you believe an assignment should be treated as falling within IR35. FixMate will not make uplifted payments in respect of any assignment without prior written agreement.
You agree to indemnify and hold FixMate harmless from any claims, losses, damages, or expenses (including reasonable legal costs) arising from:
FixMate retains all rights in its brand, platform, software, and any content it creates. You may not use FixMate's brand or materials for any purpose beyond performing Services without prior written consent.
Either party may terminate this agreement at any time without cause by giving 7 days' written notice. FixMate may terminate immediately and without notice if you:
Upon termination, FixMate will pay any amounts legitimately due for Services already completed.
You must keep confidential all customer information (addresses, contact details, job specifics) and not use it for any purpose beyond completing the relevant job. You must delete or securely destroy any customer data once the job is complete.
This agreement is governed by and construed in accordance with the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
